1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of Redactic (the "Service"), a document redaction service operated by KS Agents (P.IVA IT01430680320), Trieste, Italy ("KS Agents", "we", "us"), available at redactic.eu and related subdomains. Redactic is a service operated by KS Agents.

By creating an account, accepting these Terms at sign-up, or using the Service, you ("you", the "Customer") agree to be bound by these Terms and by the Redactic Data Processing Agreement (DPA), which is incorporated by reference. If you do not agree, do not use the Service. If you accept these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation.

3. The Service

Redactic detects personal data in documents and text you submit, and masks or redacts it. The defining characteristic of the Service is ephemeral, no-trace processing with data minimisation by design: Customer Content is held only in encrypted volatile memory for the short time needed to perform the operation and is then automatically and irreversibly deleted. Where optional AI-assisted features (summaries, drafting, Q&A) are used, only Masked Text is transmitted to AI sub-processors, all of which are EU-resident and operate under no-training and Zero Data Retention terms (see the DPA, Annex B).

For reversible pseudonymisation, the Re-identification Map is delivered to and held by you in your browser. KS Agents does not retain it; without it, placeholders cannot be reversed. You are solely responsible for securely storing the Re-identification Map.

We may modify, add, or discontinue features of the Service at any time, provided that material reductions in the core redaction functionality of a paid plan will be communicated in advance.

4. Eligibility and Business Use

The Service is intended solely for business and professional use and only for users who do not qualify as consumers. You must be of legal age and have the legal capacity to enter into a binding contract. By using the Service you confirm that you are acting in the course of your trade, business, craft, or profession.

5. Account Registration and Security

You must register with complete and truthful information and keep it up to date. Each user must register only one account. Accounts created by automated means are prohibited. You are responsible for safeguarding your credentials and for all activity under your account, and you must notify us promptly of any unauthorised use. We may suspend or terminate accounts that violate these Terms.

6. Customer Content and Licence

As between the parties, you retain all rights in your Customer Content. You grant KS Agents a non-exclusive, worldwide, fully paid-up and royalty-free licence to process Customer Content solely to provide the Service to you for the duration of each operation, consistent with the ephemeral processing described in §3 and the DPA. KS Agents does not moderate or review Customer Content and does not use it to train AI models.

You represent and warrant that you have all rights and a valid legal basis to submit Customer Content for processing, and that doing so does not infringe any third-party rights or applicable law. You acknowledge that documents may contain special categories of personal data, and that you remain the data controller for that data; KS Agents acts as data processor under the DPA.

7. AI Credits, Plans, and Billing

Masking and redaction (blackout) operations are provided as described in your plan. AI Credits are consumed only when AI-assisted processing runs on Masked Text. Plans and credit packs are described at the point of purchase. Subscriptions, where offered, are open-ended and begin upon receipt of payment, and renew according to the cycle shown at checkout until cancelled.

Fees are stated exclusive of taxes unless indicated otherwise; applicable taxes are added as required by law. You authorise us and our payment processor (Stripe) to charge your chosen payment method. Cancellation takes effect at the end of the then-current billing period unless otherwise stated, and termination is effective in accordance with the notice provisions of §13. 8. Acceptable Use

You shall not, and shall not permit any third party to: (a) use the Service in violation of any applicable law or third-party right; (b) submit content you have no lawful basis to process; (c) attempt to re-identify, reverse-engineer, or circumvent the redaction or security mechanisms of the Service; (d) upload malware or disrupt the integrity or performance of the Service; (e) scrape, harvest, or access the Service by automated means except through documented APIs; (f) resell or provide the Service to third parties except as expressly permitted; or (g) impersonate any person or misrepresent your affiliation. We reserve the right to remove content or suspend access for violations of this section.

9. Intellectual Property

The Service, including all software, models, detection logic, user interfaces, and associated intellectual property, is and remains the exclusive property of KS Agents and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with your plan. No rights are granted except as expressly set out here.

10. Data Protection

Processing of personal data contained in Customer Content is governed by the Redactic DPA, which is incorporated into these Terms. KS Agents processes such data only on your documented instructions and as described in the DPA. KS Agents' processing of your own account and billing data as a controller is described in the Redactic Privacy Policy.

11. Warranties and Disclaimers

The Service is provided strictly on an "as is" and "as available" basis. To the maximum extent permitted by law, KS Agents disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. While Redactic is designed to detect and remove personal data with high accuracy, no automated redaction is guaranteed to be exhaustive; you remain responsible for reviewing output before relying on or disclosing it. The manual span-review and redaction-certificate features are provided to support that review.

12. Limitation of Liability

To the maximum extent permitted by law, KS Agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. KS Agents' aggregate liability arising out of or relating to the Service shall not exceed the amounts paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Term and Termination

These Terms apply for as long as you use the Service. You may stop using the Service and close your account at any time. Either party may terminate for material breach. Termination is effective in accordance with the notice given. Upon termination, your right to use the Service ceases; the deletion and return of account and billing data is governed by §3.7 of the DPA, and Customer Content is not retained in any case. Provisions that by their nature should survive termination (including §§6, 9, 11, 12, 14, 16) shall survive.

14. Indemnification

You shall indemnify and hold harmless KS Agents from any third-party claim, liability, damage, or expense (including reasonable legal fees) arising from your Customer Content, your use of the Service in breach of these Terms, or your violation of applicable law or third-party rights.

15. Changes to the Terms

We may update these Terms from time to time. We will provide reasonable notice of material changes (for example by email or in-product notice). Your continued use of the Service after the changes take effect constitutes acceptance. If you do not agree, you must stop using the Service.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Italy. The competent courts of Trieste (KS Agents' registered office) shall have exclusive jurisdiction over any dispute, without prejudice to any mandatory protection available to you under the law of your place of establishment. We will handle any complaint without undue delay and within 5 business days of receiving it at [email protected].

17. Miscellaneous

These Terms, together with the DPA and the Privacy Policy, constitute the entire agreement between the parties regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

18. Language

These Terms are made available in more than one language. The English version is the authoritative and legally binding version; translations are provided for convenience only. In the event of any discrepancy, the English version prevails. This clause concerns only the language of interpretation and does not affect the governing law and jurisdiction in §16 (which remain Italian law and the courts of Trieste).
